Terms and Conditions

LUNA ENERGY SDN BHD (Company No. 202501048330 (1649738-D)) Standard Terms & Conditions for Supply and Installation of Solar Photovoltaic (PV) Systems (Effective 1 December 2025)

  1. Definitions 1.1 “Company” means Luna Energy Sdn Bhd. 1.2 “Customer” means the person or entity entering into this Agreement. 1.3 “System” means the solar photovoltaic system and all related equipment supplied and installed by the Company.

  2. Quotation & Acceptance 2.1 All quotations are valid for 30 days from date of issue. 2.2 This Agreement is formed only when the Customer signs the Sales & Purchase Agreement and pays the deposit.

  3. Pricing & Payment 3.1 Prices are inclusive of SST (where applicable) unless stated otherwise. 3.2 Payment schedule:

    • 50% deposit upon signing
    • 40% upon delivery of major components
    • 10% upon TNB meter change / Net Energy Metering (NEM) approval & system commissioning 3.3 Late payment shall attract interest at 1.5% per month.
  4. Luna Energy’s Industry-Leading Guarantees (Contractually Binding) The following guarantees are written into every contract and form part of these Terms:

    4.1 10-Year Comprehensive Product & Workmanship Warranty

    • Covers all equipment, installation workmanship and performance.
    • Zero repair or replacement cost to Customer for 10 full years from commissioning date.

    4.2 5-Year 150% Return Guarantee (“No Loss Guarantee”)

    • The Company guarantees the System will achieve at least 100% financial payback within 5 years from commissioning.
    • Payback is calculated as: (Total electricity bill savings + NEM export credits + any other incentives) ≥ Total system cost paid by Customer.
    • If payback is less than 100% by the end of Year 5, the Company shall pay the Customer 150% of the shortfall in cash within 60 days.
    • Detailed calculation methodology and yearly reporting will be provided.

    4.3 Commercial-Grade System Performance

    • Only Tier-1 panels (Bloomberg Tier-1 list), European/German-brand inverters, and DC optimizers (where applicable).
    • Minimum 30-year linear performance warranty on panels, 12–25 years on inverters.
  5. Installation & Timeline 5.1 Installation will commence within 30–60 days after receipt of deposit and approval from relevant authorities (TNB/Seda/Surat Sokongan). 5.2 Any delay caused by Customer or force majeure will extend the timeline accordingly.

  6. Customer Obligations 6.1 Provide accurate roof information, electricity bills (past 12 months), and access to premises. 6.2 Ensure roof structure is sound and suitable (structural engineer report may be required for certain roofs).

  7. NEM / Self-Consumption Application 7.1 The Company will handle all applications to TNB and SEDA on Customer’s behalf at no extra charge. 7.2 Customer agrees to sign all necessary forms promptly.

  8. Limitation of Liability 8.1 The Company shall not be liable for loss of profit, indirect, or consequential damages. 8.2 Total liability shall not exceed the contract value except under Clause 4 (Guarantees).

  9. Force Majeure The Company shall not be liable for delays or failure caused by acts of God, war, pandemic, government regulations, or supply chain disruptions beyond our control.

  10. Governing Law & Dispute Resolution 10.1 This Agreement is governed by the laws of Malaysia. 10.2 Any dispute shall first be referred to mediation; failing which, courts in Kuala Lumpur shall have jurisdiction.

  11. Entire Agreement These Terms & Conditions together with the signed Sales & Purchase Agreement constitute the entire agreement between parties and supersede all prior discussions.

Acceptance By signing the Sales & Purchase Agreement and paying the deposit, the Customer acknowledges having read, understood, and agreed to these Terms & Conditions.
